Business Service Agreement

This Business Service Agreement (“Agreement”) is entered into between SamVic Technologies and the client organization (“Client”).
1. Services
SamVic Technologies agrees to provide access and operational support for InventoryFlow, including:
- inventory workflows
- operational setup
- barcode integration
- reporting
- onboarding
- user management
- operational assistance
- technical support
2. Setup & Onboarding
Client onboarding may include:
- organization setup
- user creation
- workflow configuration
- barcode setup
- inventory structure assistance
- operational consultation
Setup fees may apply.
3. Monthly Services
Recurring services may include:
- software access
- support
- maintenance
- operational guidance
- feature configuration
- platform updates
4. Client Responsibilities
Client agrees to:
- provide accurate information
- maintain proper operational procedures
- verify inventory accuracy
- manage authorized users responsibly
- maintain internal backups when necessary
5. Payment Terms
Client agrees to pay:
- setup fees
- recurring monthly fees
- additional agreed service charges
Late or missing payments may result in:
- restricted functionality
- suspension
- termination
6. Support
Support may be provided through:
- messaging
- phone
- operational guidance sessions
Support scope depends on the selected service plan.
7. Data & Confidentiality
Client retains ownership of operational data entered into InventoryFlow. SamVic Technologies agrees to use reasonable measures to maintain confidentiality.
8. Service Availability
While reasonable uptime efforts will be made, uninterrupted service is not guaranteed.
9. Limitation of Liability
InventoryFlow is an operational assistance platform and is provided “AS IS”.
SamVic Technologies shall not be responsible for:
- inventory losses
- operational decisions
- accounting discrepancies
- indirect damages
- lost profits
- business interruption
10. Suspension & Termination
SamVic Technologies reserves the right to:
- suspend accounts
- restrict services
- terminate agreements
for:
- non-payment
- misuse
- security concerns
- violations of platform policies
11. Future Updates
Features, workflows, and operational capabilities may evolve over time.
12. Governing Law
This Agreement shall be governed under the applicable laws of the State of Tennessee, United States.
13. Acceptance
Use of InventoryFlow and payment for services constitutes acceptance of this Agreement.
